Terms and conditions

1. Provider and scope

These terms govern access to and use of https://neowes.com, Neowes ERP, SaaS services, integrations, APIs, documentation, support and technology services offered by YCY CONSULTING AND INVESTMENT SL.

If a signed proposal, order, contract, DPA or specific agreement exists between the parties, that document prevails where inconsistent with these terms.

2. Account and acceptable use

• The customer confirms that the information provided is accurate and that it is authorized to connect third-party platforms.
• Authorized users must protect their credentials, limit permissions and revoke access that is no longer needed.
• Illegal, fraudulent or abusive use, or attempts to access third-party data, systems or tenants, are prohibited.

3. Integrations and third-party data

Neowes may integrate with marketplaces, online shops, ERPs, CRMs, logistics services, analytics, email and other external APIs. Each third party may have its own terms, permissions, technical limits and policies.

For Amazon Selling Partner API, Neowes uses data only to serve the authorized seller and within the permissions granted. Sensitive operations may be limited, disabled or subject to additional human approval.

4. Automation and AI

Neowes may include automation, AI assistance, draft generation, recommendations, analytics and approval workflows. These features do not replace legal, tax, accounting or financial advice.

The customer must review outputs before applying them to its business. Neowes may block automation that is unsafe, conflicts with third-party policies or is incompatible with the customer's configuration.

5. Ownership, confidentiality and security

The customer retains ownership of its data. Neowes retains ownership of its software, code, interfaces, documentation, trademarks and underlying technology.

Both parties must protect confidential information. Neowes applies reasonable security measures, including encryption in transit, role-based access, customer segregation, secure credential handling, audit logs and incident response procedures.

6. Prices, payments and guarantee

• Prices published on neowes.com do not include VAT (IVA); the current rate is added on the invoice.
• Projects (shops, websites and features): 50% at the start and 50% when the customer tests and accepts the delivery.
• Guarantee: for 30 days after delivery we fix any faults in what we delivered at no cost.
• Monthly fees (plans and the Neowes ERP subscription): billed every month with no lock-in; they can be changed or cancelled with 30 days' notice.

7. Liability, suspension and jurisdiction

Neowes may suspend the service for non-payment, abusive use, security risk, legal requirement or third-party platform changes. To the maximum extent permitted by law, Neowes is not liable for indirect damages, lost profits or decisions made without adequate review by the customer.

These terms are governed by Spanish law. Unless mandatory rules provide otherwise, the parties submit to the competent courts under applicable law.
